ITD Innovation Information Technology LLC is a company registered and operating in the United Arab Emirates (UAE), providing technology services and solutions, which may include (but are not limited to) IT consulting, software development, cloud services, cybersecurity, web/mobile solutions, digital platforms, and related support services. آي تي دي إبداع لتقنية المعلومات ذ.م.م هي شركة مسجلة وتعمل في دولة الإمارات العربية المتحدة، وتقدم خدمات وحلولاً تكنولوجية قد تشمل (على سبيل المثال لا الحصر) استشارات تكنولوجيا المعلومات، وتطوير البرمجيات، وخدمات الحوسبة السحابية، والأمن السيبراني، وحلول الويب والجوال، والمنصات الرقمية، وخدمات الدعم ذات الصلة.

These Terms apply to:تنطبق هذه الشروط على:

Any services provided by ITD may be delivered under a proposal, Statement of Work (SOW), signed agreement, or email confirmation. Service availability and pricing may vary depending on project requirements.قد يتم تقديم أي خدمات تقدمها ITD بموجب مقترح، أو بيان عمل (SOW)، أو اتفاقية موقعة، أو تأكيد عبر البريد الإلكتروني. قد تختلف توفر الخدمة والأسعار حسب متطلبات المشروع.

6) Client Responsibilities 6) مسؤوليات العميل

• Provide accurate information and timely approvalsتقديم معلومات دقيقة وموافقات في الوقت المناسب
• Cooperate and supply required access or materialsالتعاون وتوفير الوصول أو المواد المطلوبة
• Ensure you have rights to any data or systems you provideالتأكد من أن لديك حقوقًا في أي بيانات أو أنظمة تقدمها

7) Fees, Payments, and Invoicing 7) الرسوم والمدفوعات والفواتير

Fees are as stated in the agreed proposal. Unless otherwise agreed, payments must be made within the specified payment terms (7/15/30 days) from the invoice date. Late payments may result in service suspension. الرسوم هي كما هو مذكور في المقترح المتفق عليه. ما لم يتم الاتفاق على خلاف ذلك، يجب إجراء المدفوعات في غضون شروط الدفع المحددة (7/15/30 يومًا) من تاريخ الفاتورة. قد تؤدي المدفوعات المتأخرة إلى تعليق الخدمة.

8) Intellectual Property Rights 8) حقوق الملكية الفكرية

A) Our IP:أ) ملكيتنا الفكرية: All content, logos, and code are owned by ITD.جميع المحتويات والشعارات والأكواد مملوكة لشركة ITD.

B) Client Materials:ب) مواد العميل: You retain ownership of the data you provide.أنت تحتفظ بملكية البيانات التي تقدمها.

C) Deliverables:ج) المخرجات: Ownership transfers to the client after full payment.تنتقل الملكية إلى العميل بعد السداد الكامل.

9) Confidentiality 9) السرية

Both parties agree to keep technical, business, and project information private.يوافق كلا الطرفين على الحفاظ على خصوصية المعلومات التقنية والتجارية والمعلومات الخاصة بالمشروع.

10) Data Protection 10) حماية البيانات

We process data in accordance with UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).نحن نعالج البيانات وفقًا لقانون حماية البيانات الشخصية في دولة الإمارات العربية المتحدة (مرسوم بقانون اتحادي رقم 45 لسنة 2021).

11) Third-Party Services 11) خدمات الطرف الثالث

Our services may integrate or rely on third-party platforms (e.g., cloud hosting, payment gateways, analytics, communication tools). We are not responsible for the availability, performance, or policies of third-party services. Your use of third-party services may be subject to their own terms and privacy policies. قد تتكامل خدماتنا أو تعتمد على منصات تابعة لأطراف ثالثة (مثل استضافة السحاب، بوابات الدفع، التحليلات، أدوات الاتصال). نحن لسنا مسؤولين عن توفر أو أداء أو سياسات خدمات الطرف الثالث. قد يخضع استخدامك لخدمات الطرف الثالث لشروطهم وسياسات الخصوصية الخاصة بهم.

12) Disclaimers 12) إخلاء المسؤولية

To the maximum extent permitted by law:إلى أقصى حد يسمح به القانون:

If liability is established, ITD’s total liability will not exceed the amount paid by the client for the relevant service in the last 6 months.في حال ثبوت المسؤولية، لن يتجاوز إجمالي مسؤولية ITD المبلغ الذي دفعه العميل مقابل الخدمة ذات الصلة خلال الـ 6 أشهر الماضية.

14) Indemnification 14) التعويض

You agree to indemnify and hold ITD harmless against claims, losses, damages, and expenses arising from your misuse of the website, your breach of these Terms, your violation of applicable laws, or content you provide that infringes third-party rights.أنت توافق على تعويض ITD وإبراء ذمتها من المطالبات والخسائر والأضرار والنفقات الناشئة عن سوء استخدامك للموقع، أو خرقك لهذه الشروط، أو انتهاكك للقوانين المعمول بها، أو المحتوى الذي تقدمه والذي ينتهك حقوق الأطراف الثالثة.

15) Suspension and Termination 15) التعليق والإنهاء

We may suspend or terminate access to services if you breach these Terms, payment is overdue, there is misuse, or required cooperation is not provided. Termination does not remove obligations relating to payments, confidentiality, and intellectual property.يجوز لنا تعليق أو إنهاء الوصول إلى الخدمات إذا خرقت هذه الشروط، أو تأخر الدفع، أو كان هناك سوء استخدام، أو لم يتم توفير التعاون المطلوب. لا يلغي الإنهاء الالتزامات المتعلقة بالمدفوعات والسرية والملكية الفكرية.

16) Force Majeure 16) القوة القاهرة

ITD is not liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, government actions, internet/service provider failures, cyberattacks, or unforeseen disruptions.لا تتحمل ITD المسؤولية عن التأخير أو الفشل في الأداء بسبب أحداث خارجة عن سيطرتها المعقولة، بما في ذلك الكوارث الطبيعية، الإجراءات الحكومية، إخفاقات مزود خدمة الإنترنت، الهجمات السيبرانية، أو الاضطرابات غير المتوقعة.

17) Governing Law and Jurisdiction 17) القانون الواجب التطبيق والاختصاص القضائي

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the competent courts in Dubai, unless otherwise agreed in writing.تخضع هذه الشروط لقوانين دولة الإمارات العربية المتحدة. وتخضع أي نزاعات لاختصاص المحاكم المختصة في دبي، ما لم يتم الاتفاق على خلاف ذلك خطياً.
